I work in a retail store and due to restraint of trade (selling of old business) means we can not sell online untill Feb next year. Due to Covid 19 lockdown and fewer people wanting to enter retail stores we used social media and advertising online to gain more sales over the phone. Does this constitute breaking the restraint of trade? And would there be exceptions to this due to the current financial situation small businesses are in?

I have spent the time during the lock down working on a new website with an online store. I am needing help in creating the terms and conditions for the site… I have existing terms for my wholesale customers i.e. stores… need something that is robust to cope with online sales to the consumer direct. I downloaded a template called E commerce / retail from Net Lawman a New Zealand site , they suggest editing out paragraphs that aren’t applicable and adding what is relevant for the company, I am struggling with this.. I had a quote from a lawyer for 1800.00 to create a document for me, it’s out of my budget at this time.any suggestions would be gratefully received.Thank youLorna I. Gunn

As an alternative to loans, we’re considering seeking investment. Is there some simple-to-understand guidance around raising capital under the new laws, which I think make the process simpler if the amount sought is under $2 million? I’ve looked and all I can find is website platforms charging fees to “train” small business owners in how to prepare an offer, for a fee, and they then promote the offer. For another fee! I’m (the GM) trained in business (GAICD), and marketing and PR (APR) so I don’t need their “training”, but I do need to be certain that any documentation we provide is within the law.And / or would a lawyer be prepared to help us, even if it’s simply checking the final document. (Although a business, we are the operating arm of a charity, and all profits go to that charity).

HiI would like to start a small business selling secondhand vintage goods. I really need to know what to do legal/tax wise I buy things from all over the country and can sell them with a decent profit how do I know how much tax I need to pay on each? How do I factor on travel cost and if alot of these things are brought from garage sales or op shops how do I keep records of what I paid etc.. Any advise appreciated I would eventualy like to get a name & business cards etc

I have been approached by someone who wants to work as a sales executive on a commission only basis. He has a full time job (night shift) and wants to do this as a side hustle. We have worked with him before so both sides are keen to move forward. My question is about if it’s legal to have him as a contractor who is only paid on commission. The MBIE website does not give a clear answer and they have not replied when I asked this question.

i own a small business which was in lockdown for over 7 weeks, due to the financial hardship of this closure i approached the landlord for an early termination of my commercial lease and made an offer, i am waiting for a reply. Over the lockdown i have only paid a small portion of the lease and outgoings, as per my lease agreement.I have tried to negotiate the lease and bills payment (fair proportion) with the landlord, their reply was to pay in full. I noticed 4 days before level 2 came about the landlord had placed the premises up “For lease” and put signage up and was advertising with an agent. To date i have had no written or verbal notice. Has the landlord broke the terms of the lease agreement, and is this legal.

We contract to a larger Refrigerated transport company, who also employ their own drivers? (Classes as essential service for food). Our contract says 5 nights per week, but if they have no work then don’t have to supply. They have run continually but stood down owner drivers in favour of company drivers, casuals and temping agencies for the same run we have done for the last 7 years. Can they do this?
